Sell Your Company in 150 Days – Part 7: Offer Evaluations & LOI Execution
Why ECP never recommends a specific offer. Learn how we empower sellers to evaluate LOIs against their personal goals — because this decision goes far beyond the numbers.
Stage 7: Client Completes Offer Evaluations & Executes LOI
ECP Ventures offers a disciplined, diligent, structured 10 Stage 150 Day sales transaction process for business owners to sell their businesses with sell side M&A representation.
The ultimate goal is to secure 5+ qualified LOI's for our seller's consideration and ultimate selection.
The entire process up until now has been driven by the goals and objectives of our clients that were established at the very beginning of their engagement. We are very proud to say that our clients remain in full control of their offering from day one to closing day. This is not about us! It is about our clients' financial and personal needs and desires. This is their one chance to get this right and they have trusted us to get them there.
Purpose Driven, Not Fee Driven
This is where we distinguish ourselves from business brokers. We are purpose driven and not fee driven. Consequently, we never recommend that our sellers take a specific offer.
Instead, we share with our clients what we sense through our M&A lens as the pros and the cons of each offer. We thoroughly identify what aligns and does not align with their stated goals and objectives. We diligently go through every offer with our clients and provide them with a contrasting offer grid. Once we have shared all of our information we stand down and get out of our client's way.
The Human Element
It is now their time on the clock. This is a time when most sellers make their final LOI selection with their gut instead of their brain. This is their "baby" and often their biggest accomplishment in life. Many make this decision on instinct, intuition and experience. By now they have a very good read on each buyer and their culture, style and future purpose.
This is where it is not purely a quantitative decision. We work with very high-quality people (clients) that care about their employees, customers, suppliers, community and their legacy. They want to feel very good about how they protected everyone during this transition.
Another huge element in this decision-making process is their sense about the likelihood of success of the buyer after the sale. Every seller has heard horror stories about how disconnected or financially greedy buyers have driven an acquired company into the ground within 36 months or ran off many high-quality valued employees.
High quality sellers have a real sense of nobility or appropriateness at this stage and we encourage them to seek the highest level of enrichment and contentment possible. Our firm is adamant that we never want our sellers to have sellers' remorse.
We are a 100% successful efforts firm so all services described above are performed with zero cost and zero risks to our clients.
